Welcome to Nama. We believe that trust is the foundation of innovation in Artificial Intelligence. These Terms of Use ("Terms") were built based on our commitment to transparency, user protection, and clarity. By accessing or using our websites, platforms, APIs, and associated services (collectively, the "Services"), you agree to these Terms. If you do not agree, please do not use the Services.
§Definitions
For the purposes of these Terms of Service, the terms below shall have the following meanings, regardless of whether they are in the singular or plural:
- Nama
- Business name of the platform operated by NAMA INTELIGÊNCIA ARTIFICIAL LTDA., CNPJ 51.804.866/0001-96, responsible for the Services described in this document.
- Services
- Set of functionalities, APIs, web applications, artificial intelligence systems, interfaces, and other technological solutions provided by Nama, as contracted by the User.
- User
- Natural or legal person who accesses or uses Nama's Services, in a free or paid capacity.
- Consumer User
- Natural person who uses Nama's Services as the final recipient, under the terms of the Consumer Defense Code (Law 8.078/1990).
- Business User
- Every person, natural or legal, who uses Nama's Services in the context of their economic, commercial, professional, or institutional activities, or who does not qualify as a final recipient of the service under the terms of the Consumer Defense Code.
- Account Data
- Information provided by the User to Nama for the creation and management of their account, including, but not limited to, name, email, telephone, and billing information. In these cases, Nama acts as the Data Controller.
- Processed Content
- Refers to any and all Input and User Content, including any personal or confidential information belonging to the User themselves or to third parties, which the User sends, uploads, or connects to the platform for processing by the AI Services. In these cases, the User acts as the Controller and Nama acts as the Operator.
- Input
- Any data provided to the platform by the User, manually, automatically, or via integration, including commands, prompts, instructions, files, documents, images, audios, videos, or any other type of structured or unstructured input.
- Output
- Any content, data, or result generated automatically by Nama's artificial intelligence models from an Input provided by the User, including texts, codes, images, tables, graphs, summaries, presentations, documents, or other structured or unstructured representations.
- User Content
- All content authored by the User submitted, created, or stored on the platform, including files, texts, presentations, data, and annotations, excluding Outputs generated by AI.
- AI Models
- Nama's proprietary algorithmic infrastructure, composed of neural networks, parameters, datasets, filters, heuristics, and systems responsible for generating Outputs.
- Generative AI
- Set of technologies based on artificial intelligence models capable of generating new content (such as texts, images, codes, or documents) autonomously from data provided by the user (Inputs), based on statistical learning, without scripts or previously programmed instructions.
- Corporate Account
- Account linked to a business email domain or Enterprise contract, and may be subject to centralized administration by the organization.
- Personal Data
- Any data defined as personal under the terms of Law No. 13,709/2018 (LGPD), treated in the context of the provision of Services.
- Reverse Engineering
- Any attempt to discover, infer, or reconstruct, by technical, statistical, or operational means, the internal workings of Nama's models, algorithms, or systems, including through systematic analysis of Inputs and Outputs.
- Training of External Models
- Process of creating, adjusting, improving, supervising, validating, or comparing artificial intelligence models using, as total or partial input, Outputs generated by Nama's models.
- Feedback
- Any information, suggestion, error report, evaluation, or contribution provided voluntarily by the User with the objective of assisting in the improvement of the Services, including spontaneous interactions or those collected via formal platform communication channels.
- Continued Failure
- Significant interruption or degradation of Services for a period exceeding 4 (four) consecutive hours, as a direct result of failures in third-party services or infrastructure.
- Plans
- Modalities for contracting the Services, free or paid, as described on Nama's official pricing page.
01Conditions of use and service policies
Trial Period and Satisfaction Policy: We offer a free trial period of 14 (fourteen) calendar days exclusively to new users, limited to a single use per CPF or CNPJ. Satisfaction policy allows full refund of the first charge within up to 7 (seven) calendar days, limited to one use per user every 12 months, with a simplified process through the same payment method used.
Data Protection: You maintain ownership of your content. We do not use your content to train our AI models generally. Only aggregated and anonymized insights may be used for operational improvements, as detailed in Section 3.
Technical Support: We offer support in Portuguese, English, and Spanish according to your plan:
- Free Plans: up to 5 business days via email.
- Paid Plans: up to 24–48 hours via email and chat.
02Use of Services
Eligibility and Responsibility: You must be at least 18 years old to use the Services independently. Users between 16–18 years old may use the Services with express authorization from legal guardians in accordance with the General Data Protection Law. You are responsible for keeping your credentials secure and for all activity on your account.
Corporate Domains: If you create an account using an organization's email (e.g., your.name@company.com), your account may be associated with that organization's business account, subjecting it to the control of the business account administrator if your organization has an Enterprise contract with us. Binding will occur upon 7 (seven) days' prior notice for email modification, after which binding will be automatic.
Acceptable Use: Use the Services responsibly and ethically. It is strictly prohibited:
Platform security and integrity
- Introduce malicious code, including malware, viruses, or ransomware.
- Perform vulnerability scans or penetration tests without express prior authorization.
- Interfere with, overload, or impair system performance.
- Use automated processes such as scraping to extract data, except through authorized APIs.
Content and behavior
- Store, process, or share illegal, defamatory, fraudulent content or content that infringes third-party rights.
- Use the Services to harass, threaten, discriminate, or promote hate speech.
- Process personal data of third parties without adequate legal basis.
- Generate misleading content, including deepfakes, with intent to defraud.
Undue commercial and technical use
- Use for reverse engineering, competitive benchmarking, or building a competing product.
- Share, sell, or sub-license access credentials.
- Execute API calls that consistently exceed established limits.
- Attempt to access data or functionalities outside the authorized scope.
Export Controls and Sanctions: For international users, you agree to comply with applicable export control and sanctions laws of your country. Services must not be used for activities that violate international sanctions or by entities under legal restrictions.
Balanced Use: To ensure service quality for all, we monitor platform use. Excessive use is considered that which: (i) exceeds 3 (three) times the average number of requests of other users of the same plan; (ii) consumes resources harming platform stability; or (iii) presents automated usage patterns. The escalated procedure includes: email notification, 48-hour period for adjustment, technical limitation (throttling), and eventual suspension in serious cases.
Platform Protection: It is forbidden to adopt automated processes to extract, collect, or copy information from the Services (scraping), except when expressly authorized by us.
Integrations and Third-Party Services: Our Services may integrate with third-party applications and services. These integrations are governed by the terms of the respective providers. We are not responsible for interruptions, failures, or problems caused by third-party services, but we will make reasonable efforts to maintain compatibility.
Dependence on Infrastructure and Third-Party Services: Some Nama functionalities depend on third-party services and infrastructure. Nama is not responsible for failures, interruptions, or limitations caused by these services, but will make reasonable efforts to mitigate impacts. In paid plans, eventual compensation for damages arising from continued failure will be subject to the criteria and limits defined in the applicable SLA, and may be granted exclusively in the form of credits for future platform use.
Ban on Reverse Engineering and Model Recreation: It is prohibited to perform reverse engineering, decompilation, analysis of response patterns, Output mining, or any other form of use of the Services, directly or indirectly, with the objective of reconstructing, replicating, cloning, emulating, deriving, or inferring the architecture, parameters, training data, or internal functioning of Nama's artificial intelligence models. This includes the systematic or large-scale use of the Services to compose datasets, train own or third-party systems, or develop competing products.
Technical Detection of Misuse and Reverse Engineering: Nama may employ technical mechanisms for detecting anomalies, analyzing request frequency, semantic variation, and repetitive Input patterns to prevent uses incompatible with these Terms, including reverse engineering or automated abusive use, respecting the limits of applicable legislation.
Suspension and Termination Procedures: In case of violation of the Terms, we will follow this flow: (i) formal notification indicating the violation; (ii) right of reply within 5 (five) business days; (iii) analysis of the manifestation; (iv) decision communicated by email. In case of imminent risk, illegal activities, or serious violation, access may be suspended immediately, with subsequent notification.
03Intellectual property and data
Your Content (Created by You): You maintain full ownership over all content of your authorship, including: files you upload to the platform, documents you create or edit in our tools (wikis, presentations, notes, boards), texts you write, and any other content where you are the primary author, regardless of having received formatting or editing suggestions from the AI. You grant us only a limited, revocable, non-exclusive, and non-transferable license, for use strictly necessary for the provision and improvement of the Services, without commercial sub-licensing.
AI-Generated Content (Output): For content created directly by our artificial intelligence models through prompts and commands, you receive exclusive use rights and unrestricted commercial rights over your specific Output, being able to use it freely for any lawful purpose. You recognize that other users may receive similar outputs through their own distinct inputs, but each specific Output belongs exclusively to the user who generated it.
Restriction of Use for Model Training: Despite the rights granted over the Output, it is expressly forbidden to use the Outputs generated by Nama's Services, in an isolated or aggregated way, to train, adjust, supervise, validate, calibrate, or compare artificial intelligence models or similar systems of third parties, public or private, with or without commercial purposes. This restriction applies even if the Outputs have been obtained in a legitimate way, aiming to preserve the technological, intellectual, and competitive integrity of the models developed by Nama.
Monitoring and Suspension for Massive Generation of Outputs: Nama reserves the right to monitor and audit usage patterns that may characterize automated or systematic behavior focused on the massive generation of Outputs for purposes of reverse engineering, technological replication, or training of competing models, being able to restrict or suspend access at any time, including by applicable legal measures.
Ownership of Generated Contents: You acknowledge that exclusivity over the generated Output applies only to the specific result of your interaction with Nama's models, and that substantially similar Outputs may be generated for third parties without this configuring a violation of your rights.
Output as Expressive Manifestation Derived from Proprietary Technology: The generated Output is an expressive manifestation produced by Nama's proprietary model. Although the User holds rights over the specific result generated, the Output should not be interpreted as an autonomous work or separate from the underlying technology, whose ownership remains entirely with Nama. Any attempt to claim exclusivity over the functioning, language pattern, or behavior of the model will be considered a violation of intellectual property rights.
Important about Generative AI: Our AI may present limitations, inaccuracies, and inconsistencies inherent to the technology. We cannot guarantee absolute accuracy of the generated results. It is your responsibility to verify the suitability, legality, and originality of the use of the Output for your specific purposes. Nama does not assume responsibility for eventual violation of third-party rights contained in the Output, it being the user's responsibility for final verification before its commercial or public use.
Use of Data for Service Improvements: By default, we do not use your content for AI model training. We use only aggregated and anonymized data for operational improvements of the Services (performance, security, technical functionalities).
Voluntary Contribution Program: You may choose to contribute data for model improvements through account settings, receiving benefits such as credits or early access to functionalities. This contribution is always optional and revocable.
Feedback: Any feedback you provide grants us a perpetual and non-exclusive license for internal use in order to improve the Services. Feedback will be used in an aggregated and anonymized way and does not confer on you rights over the resulting improvements.
Your Responsibility over Processed Content: You, as the Data Controller, are the sole responsible for all Processed Content you submit to the Services. You represent and warrant that you possess all rights, authorizations, and necessary legal bases (including consent, where applicable) to collect, share, and instruct us to process such data. Nama acts strictly as an Operator, treating data under your instructions to provide the Services. We have no control over the Processed Content and we disclaim any responsibility related to its legality, accuracy, or suitability. Any damages caused to Nama by the treatment of illicit content or content that violates third-party rights will be of your full responsibility.
Consultancy and Customization Services: The rights and obligations provided for in these Terms apply exclusively to the standard use of the platform. Additional consultancy services, customized development, training, premium support, or model fine-tuning will require a specific contract, which will define scope, deliveries, payment, and intellectual property over eventual results. Special conditions, such as SLA, dedicated support, guaranteed availability, confidentiality clauses, or penalties, must also appear in a separate contract, which will prevail over these Terms in case of conflict.
Revocation of License over Output in Case of Violation: In case of violation of these Terms, especially the clauses relating to acceptable use, reverse engineering, or training of external models, the license granted over the Output may be revoked at Nama's exclusive discretion, without prejudice to applicable legal measures.
Copyright Protection: For notifications of alleged copyright violation, use the channel legal@nama.ai. The notification must contain: (i) clear identification of the protected work; (ii) identification of the infringing material; (iii) complete contact information; (iv) declaration of good faith about unauthorized use; (v) declaration under the penalties of the law on truthfulness of the information; (vi) physical or electronic signature of the holder or legal representative. After analysis, we may remove content, notify the responsible user, or terminate accounts of repeat infringers.
04Limitations of artificial intelligence
Functioning of AI Systems: Nama's AI systems are built based on language and machine learning models, operating under architectures such as RAG (Retrieval-Augmented Generation) and with API integrations with vector databases and indexed documents, aiming at: support for decision-making, semantic search, assisted text generation, and automation of flows based on natural language.
Technology Limitations: Our AI works based on probabilistic models and may generate incorrect, outdated, or inconsistent information (hallucinations). The Services do not replace professional advice (legal, medical, financial, etc.). The accuracy of responses is directly influenced by the quality of the data provided by the user.
User Responsibility: It is your responsibility to verify the accuracy and suitability of any generated Output before using it for critical personal or professional decisions. We expressly recommend qualified human review for all critical use of AI responses.
Technical Safeguards: We implement automatic filters to mitigate generation of offensive, discriminatory, or illegal content, usage logs for auditing, mechanisms such as rate limiting and protection against prompt injection, and verification protocols with the possibility of automatic deactivation of inadequate responses.
Prohibited Use Cases: It is expressly forbidden to use AI for: (i) illegal, harmful, misleading, or discriminatory purposes; (ii) development of autonomous weapons or mass surveillance; (iii) generation of misleading deepfakes without specific authorization; (iv) automated decisions with legal effects without human safeguards; (v) sharing AI outputs as human opinions without proper signaling.
05Subscriptions and modifications to Services
Plans and Functionalities: We offer different levels of access to the Services, including free options with limited functionalities and paid plans with advanced features. Specific details, limitations, and functionalities of each plan are available on our pricing page and may be changed at any time.
Subscription and Automatic Renewal: To ensure service continuity, your paid subscription will be automatically renewed at the end of each contractual period (monthly or annual). We will send a reminder by email at least 7 days in advance of the renewal date. You can cancel automatic renewal at any time through your account settings, and your access will remain active until the end of the period already paid.
Billing and Collection of Overages: Your invoice will be composed of the fixed value of the contracted plan, added by eventual charges for usage that exceeds the limits of your plan (such as credits, tokens, or additional users), determined in the previous cycle. By continuing to use the Services beyond the limits of your plan, you agree to the collection of these overages based on current prices informed on our pricing page.
Payments via Credit Card: By providing the information for a recurring payment method (such as a credit card), you:
- authorize Nama, or our payment processor, to perform automatic and recurring charges relative to your subscription and use of Services;
- commit to keeping your payment information updated and valid;
- recognize that, in case of transaction failure (expired card, lack of funds, etc.), we may notify you, attempt the collection again, and in case of failure, suspend access to the paid functionalities of the Services.
Taxes: Prices disclosed on our page do not include applicable taxes (e.g., ISS). Such taxes will be calculated according to current legislation and added to the final value of your invoice.
Modifications to Services: We may modify or discontinue functionalities with 30 days' prior notice. In case of significant discontinuation of an essential functionality of your plan, you will be entitled to a proportional refund of the period not used.
Suspension and Termination: We reserve the right to suspend or terminate accounts that violate these Terms, especially our acceptable use policy, or in case of payment default for a period exceeding 15 (fifteen) days, observing the due process as detailed previously.
Technical Registration of Acceptance and Contractual Traceability: Acceptance records of the Terms will be stored with date, time, IP, and technical identification of the device, ensuring traceability in case of disputes. Tacit acceptance will be presumed through continued use of the platform after the change notice.
06Limitation of liability and warranties
Warranties: We provide the Services with a commitment to technical quality and functionality as described in our offer. Due to the probabilistic nature of artificial intelligence, we cannot guarantee perfect or uninterrupted results, but we commit to continuous improvements and correction of proven technical failures. This commitment does not exclude our responsibility for quality or suitability defects, according to applicable legislation.
Technical Failure Definition: Technical failure is considered to be the generalized and uninterrupted unavailability of essential platform resources for more than 60 (sixty) consecutive minutes, provided it is caused by failure in infrastructure managed directly by Nama. Excluded are failures originating from third-party services, minor instabilities, Output errors, limitations inherent to AI models, scheduled stops with at least 24h prior notice, and force majeure events.
Limitation of Liability for Business Users: For users who use the Services in the exercise of their professional or business activity (legal entities or equivalent), our responsibility for direct and proven damages resulting from technical failure of the Services will be limited, per event, to the greater value between: (i) R$ 2,000 (two thousand reais); or (ii) the total of values effectively paid by you to Nama in the 12 (twelve) months prior to the occurrence of the event.
Responsibility Applicable to Consumers: For users who fall under the legal definition of consumer (natural person using Services as the final recipient), Nama's responsibility for eventual damages will be determined and compensated under the terms of applicable legislation, in particular the provisions of Law No. 8,078/1990 (Consumer Defense Code).
Exclusions
Except in cases of intent, gross negligence, or when prohibited by law, Nama will not be responsible for:
- Indirect damages, loss of profit, or loss of business opportunities.
- Damages resulting from inadequate use of the platform or violation of these Terms by the user.
- Personal or professional decisions taken based on the AI Output without due human verification of its accuracy, legality, and suitability.
- Interruptions, failures, or losses caused by third-party services, infrastructure, or APIs.
- Force majeure or fortuitous event, as defined by Brazilian legislation.
Period for Complaints: In relations between Nama and Business Users, any complaint about eventual defects or failures in the Services must be presented within the decadential period of 6 (six) months, counting from the date of knowledge of the generating fact. This period, agreed upon between the parties for purposes of legal security and predictability, is not confused with and does not affect the prescriptive periods provided by law for eventual claims for reparation of damages. In relations with Consumer Users, the decadential and prescriptive periods established in Law No. 8,078/1990 (Consumer Defense Code) and applicable civil legislation will be applied.
Preservation of Evidence: In case of dispute, the user must preserve all relevant evidence (such as screenshots, activity logs, and communications) to support their claim. Nama will maintain technical and access records related to the Services according to data retention legislation requirements.
Indemnity: You, in the quality of business user, agree to defend, indemnify, and hold harmless Nama, its affiliates, directors, and collaborators from and against any claims, losses, damages, and expenses (including attorney's fees) arising from: (i) your use of the Services in violation of the law or third-party rights; (ii) your violation of these Terms; or (iii) the content you create, submit, or publish on the platform. This indemnity clause does not apply to users in the condition of consumers, when it contradicts the provisions of the Consumer Defense Code.
07Applicable law and dispute resolution
Applicable Law: These Terms are exclusively governed by the laws of the Federative Republic of Brazil.
Dispute Resolution: Before initiating any legal procedure, you may choose to contact us through support@nama.ai for an attempt at friendly resolution. We will analyze the matter and respond within up to 14 (fourteen) business days. This procedure is optional and does not affect your legal rights.
Urgency Measures: Nothing prevents either party from adopting precautionary or urgent judicial measures to prevent irreparable damage, even before the friendly resolution steps are concluded.
Competent Forum: For any legal action related to these Terms:
- Consumer Users: forum of the consumer's domicile, according to the Consumer Defense Code.
- Business Users: forum of the District of São Paulo, SP, Brazil.
08Regulatory compliance and data protection
LGPD: The treatment of personal data follows our Privacy Policy and the General Data Protection Law (Law 13,709/18). By default, we do not use user data for AI training. You can exercise your rights as a data subject through the channel legal@nama.ai.
Your Rights: According to the LGPD, you have the right to access, correct, delete your data, withdraw consents, and request portability. Exercise through account settings or legal@nama.ai.
Responsibility in Regulated Sectors: If you act in highly regulated sectors (finance, health, education, government, telecommunications, energy), it is your exclusive responsibility to evaluate and ensure compliance with applicable sectoral standards. Nama disclaims any responsibility for eventual regulatory non-compliance for use of Services in regulated sectors, recommending the obtaining of specialized legal guidance by the user.
Security Measures
We implement appropriate technical measures for personal data protection, including:
- AES-256 encryption for data at rest and TLS 1.3 for data in transit.
- Role-Based Access Control (RBAC) with the principle of least privilege.
- Multi-factor authentication for administrative profiles.
- Access logs maintained for 12 months for auditing.
- Encrypted automatic backup with periodic recovery tests.
- 24/7 monitoring with critical event alerts.
- Formal incident response plan (channel: support@nama.ai).
Our Role in Personal Data Processing: Our relationship with data processing depends on the context:
- As Controller: we treat your Account Data to manage our Services, as described in our Privacy Policy.
- As Operator: we treat the Processed Content on your behalf and under your instructions, as defined in these Terms. Our obligations as Operator are limited to providing the Services securely and in accordance with the contract.
09General provisions
Beta Resources: Experimental functionalities may be offered "as is", without specific performance or continuity guarantees, and may be modified or discontinued at any time.
Changes to Terms: We may change these Terms with 30 days' prior notice. If you do not agree with the changes, you may cancel your account without charge during the notice period. Continuing to use the Services after the changes means you accept the new terms.
Entire Agreement: These Terms and the documents referenced herein (Privacy Policy) constitute the complete agreement between you and Nama for standard service use, prevailing over any prior agreements. For enterprise clients, these Terms integrate and complement the specific Master Service Agreement (MSA), which will prevail in case of conflict for specific contractual issues.
Force Majeure: We will not be responsible for delays or failures resulting from circumstances beyond our reasonable control, including natural disasters, third-party infrastructure failures, cyber attacks, regulatory changes, or pandemics.
Independence of Clauses: If any clause or provision of these Terms is considered illegal, void, or unenforceable by a competent court, the remaining clauses and provisions will remain in full force and effect, and the invalid clause will be considered replaced by a valid clause that best reflects the original intent of the parties.
Assignment: Nama may assign or transfer its rights and obligations under these Terms, in whole or in part, to any affiliate, subsidiary, or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, without the need for prior notice. The User may not assign or transfer any of their rights or obligations under these Terms without Nama's prior written consent.
AI Governance: Nama maintains a specific governance structure for AI, including a multidisciplinary internal ethics committee, ethics review process for new projects, and impact assessments before implementing new models or functionalities.
Commitment to Responsible Use: Nama commits to the responsible use of AI and invites users to report abuses, biases, or ethical problems through official channels, guaranteeing confidentiality and non-retaliation to the whistleblower.
